Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Tech630 Software Private Limited, trading as Six30Labs ("Company," "we," "us," or "our"), governing your access to and use of the six30labs.io website, our software products (SYNC, INSIGHT, HRSlate, Nora AI), and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable laws
• If using on behalf of an organization, have authority to bind that organization to these Terms

Account Registration

Some of our Services require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

Services Description

Website

Our website provides information about Six30Labs, our services, products, and allows you to contact us for inquiries and demos.

Software Products

We offer enterprise software products including:

• SYNC: Construction and real estate project management platform
• INSIGHT: Business intelligence and analytics platform
• HRSlate: Human resources management system
• Nora AI: Conversational AI and automation platform

Access to these products is subject to separate subscription agreements and service level agreements (SLAs).

Professional Services

We provide custom software development, consulting, and managed services. These engagements are governed by separate Master Service Agreements (MSAs) and Statements of Work (SOWs).

Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Engage in any activity that could damage, disable, or impair our infrastructure
• Scrape, crawl, or use automated means to access the Services without permission
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services for competitive analysis or to build competing products
• Resell, sublicense, or redistribute the Services without authorization
• Transmit spam, phishing attempts, or unsolicited communications

Intellectual Property

Our Intellectual Property

The Services, including all content, features, functionality, software, designs, trademarks, and intellectual property, are owned by Six30Labs or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license to use the Services as expressly permitted.

Your Content

You retain ownership of any content, data, or materials you submit through the Services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely to provide and improve the Services.

You represent and warrant that you have all necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.

Feedback

If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback without restriction or compensation.

Confidentiality

Each party agrees to protect the confidential information of the other party with the same degree of care used for its own confidential information, but no less than reasonable care. Confidential information includes non-public technical, business, or financial information disclosed by either party.

Payment Terms

For paid Services:

• Fees are as specified in your subscription agreement or order form
• All fees are exclusive of taxes unless stated otherwise
• Payment is due within 30 days of invoice unless otherwise agreed
• Late payments may incur interest at 1.5% per month or the maximum legal rate
• We reserve the right to suspend Services for non-payment
• Fees are non-refundable except as expressly stated

Service Level and Support

Service levels, uptime commitments, and support terms are defined in separate Service Level Agreements (SLAs) provided with your product subscription. We strive to maintain 99.9% uptime for our cloud-hosted products but do not guarantee uninterrupted access.

Third-Party Services

Our Services may integrate with or contain links to third-party services, applications, or websites. We are not responsible for the availability, content, or practices of these third parties. Your use of third-party services is subject to their respective terms and policies.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• Results obtained from using the Services will be accurate or reliable
• Any errors or defects will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SIX30LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Six30Labs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights
• Your violation of applicable laws

Term and Termination

These Terms commence when you first access the Services and continue until terminated. We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content
• Provisions that by their nature should survive will survive termination

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the Indian Council of Arbitration in Bangalore, India. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable product agreements, constitute the entire agreement between you and Six30Labs regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
